Terms of Service

These Terms govern the relationship between Mat Plus Pty Ltd (ABN 84 697 878 890) ("Mat+", "we") and Academy Operators who subscribe to the Mat+ platform. By creating an account or using the service, you agree to these Terms.
1. The Service
Mat+ is a software-as-a-service platform that helps Brazilian Jiu-Jitsu academies manage members, attendance, scheduling, billing, curriculum, and student progression. We grant you a limited, non-exclusive, non-transferable licence to use the platform for the duration of your subscription.
2. Your Account
You must provide accurate information when registering and keep your credentials secure. You are responsible for all activity under your account. Notify us immediately at support@matplus.app if you suspect unauthorised access.
3. Subscriptions and Payment
Subscription fees are charged in advance according to the plan you select. All prices are in Australian Dollars (AUD) and include GST where applicable. We use Stripe to process platform subscription payments. Failure to pay may result in suspension of access. You may cancel at any time; access continues until the end of the paid period.
4. Your Data and Privacy
You retain ownership of all member data and content you store in Mat+. You grant us a limited licence to host and process that data solely to provide the service. Our Privacy Policy explains how we handle personal information. As an Academy Operator, you are the data controller for your members' data and are responsible for:
- Obtaining lawful consent from members and guardians before entering their data into Mat+.
- Ensuring your own member-facing documents (waivers, data consent forms) are legally adequate for your jurisdiction.
- Responding to member requests for access, correction, or deletion of their data.
5. Academy Agreement
In addition to these Terms, Academy Operators must sign the Mat+ Academy Agreement (available in Settings → Legal within the platform) before accepting member payments through Mat+. The Academy Agreement sets out the specific obligations of each party regarding data processing, payment collection, and liability allocation.
6. Acceptable Use
You agree not to:
- Use Mat+ for any unlawful purpose or to process data without proper consent.
- Attempt to gain unauthorised access to any part of the platform or another organisation's data.
- Resell, sublicence, or reverse-engineer the platform.
- Upload malicious code or content that violates third-party rights.
7. Intellectual Property
The Mat+ platform, branding, and underlying technology are owned by Mat Plus Pty Ltd and are protected by Australian and international intellectual property laws. These Terms do not grant you any rights to our intellectual property other than the limited usage licence described above.
8. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability to you in connection with these Terms or the service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential loss.
Nothing in these Terms limits any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).
9. Service Availability
We aim for high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance. We are not liable for downtime caused by events outside our reasonable control.
10. Termination
Either party may terminate for convenience with 30 days' written notice. We may suspend or terminate your account immediately for material breach of these Terms, non-payment, or illegal activity. On termination, we will provide a data export on request and delete remaining data within 90 days.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified by email or in-platform notice at least 14 days before they take effect. Continued use after that date constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales.
